1. Acceptance of Agreement.
You agree to the terms and conditions outlined in this Terms of Use Agreement (“Agreement”) with respect to our site (the “Site”). This Agreement constitutes the entire and only agreement between us and you, and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Site, the content, products or services provided by or through the Site, and the subject matter of this Agreement. This Agreement may be amended at any time by us from time to time without specific notice to you. The latest Agreement will be posted on the Site, and you should review this Agreement prior to using the Site.

2. Copyright.

The content, organization, graphics, design, compilation, magnetic translation, digital conversion and other matters related to the Site are protected under applicable copyrights, trademarks and other proprietary (including but not limited to intellectual property) rights. The copying, redistribution, use or publication by you of any such matters or any part of the Site, except as allowed by Section 4 below, is strictly prohibited. You do not acquire ownership rights to any content, document or other materials viewed through the Site. The posting of information or materials on the Site does not constitute a waiver of any right in such information and materials. Some of the content on the site is the copyrighted work of third parties.

3. Service Marks.

“MALIBAL” and others are our service marks or registered service marks or trademarks. Other product and company names mentioned on the Site may be trademarks of their respective owners.

4. Limited License; Permitted Uses.

You are granted a non-exclusive, non-transferable, revocable license (a) to access and use the Site strictly in accordance with this Agreement; (b) to use the Site solely for internal, personal, non-commercial purposes; and (c) to print out discrete information from the Site solely for internal, personal, non-commercial purposes and provided that you maintain all copyright and other policies contained therein. No print out or electronic version of any part of the Site or its contents may be used by you in any litigation or arbitration matter whatsoever under any circumstances.

5. Restrictions and Prohibitions on Use.

We may make available through the Site or through other Web sites sample and actual forms, checklists, business documents and legal documents (collectively, “Documents”). All Documents are provided on a non-exclusive license basis only for your personal one-time use for non-commercial purposes, without any right to re-license, sublicense, distribute, assign or transfer such license. THE DOCUMENTS ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITH “ALL FAULTS,” AND WE AND ANY PROVIDER OF THE DOCUMENTS DISCLAIM ANY WARRANTIES, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. The Documents may be inappropriate for your particular circumstances. Furthermore, state laws may require different or additional provisions to ensure the desired result. Certain sections of, or offerings from, the Site may require you to register. If registration is requested, you agree to provide us with accurate, complete registration and/or purchase information. Your registration must be done using accurate information. Each registration is for your personal use only. We do not permit (a) any other person using the registered sections under your name; or (b) access through a single name being made available to multiple users on a network. You are responsible for preventing such unauthorized use.

10. Errors, Corrections, and Changes.

We do not represent or warrant that the Site will be error-free, free of viruses or other harmful components, or that defects will be corrected. We do not represent or warrant that the information and/or pricing available on or through the Site will be correct, accurate, timely or otherwise reliable. We may make changes to the features, functionality or content of the Site at any time. We reserve the right in our sole discretion to edit or delete any documents, information or other content appearing on the Site.

Pricing changes very frequently on the Site. If an order is placed and the price drops before the system ships, the customer may request to have their invoice updated with the lower price, however, no change will be made unless a request is submitted by the customer. Once an order has shipped, we cannot make any changes to the pricing on the invoice.

11. Third Party Content.

Third party content may appear on the Site or may be accessible via links from the Site. We are not responsible for and assume no liability for any mistakes, misstatements of law, defamation, omissions, falsehood, obscenity, pornography or profanity in the statements, opinions, representations or any other form of content on the Site. You understand that the information and opinions in the third party content represent solely the thoughts of the author and is neither endorsed by nor does it necessarily reflect our belief.

13. Indemnification.

You agree to indemnify, defend and hold us and our partners, agents, officers, directors, employees, subcontractors, successors, assigns, third party suppliers of information and documents, advertisers, product and service providers, and affiliates (collectively, “Affiliated Parties”) harmless from any liability, loss, claim and expense related to your violation of this Agreement or use of the Site.

14. Nontransferable.

Your right to use the Site is not transferable or assignable. Any password or right given to you to obtain information or documents is not transferable or assignable.

15. Disclaimer.

16. Limitation of Liability.

We may allow access to or advertise certain third-party product or service providers (“Merchants”) from which you may purchase certain goods or services. You understand that we do not operate or control the products or services offered by Merchants. Merchants are responsible for all aspects of order processing, fulfillment, billing and customer service. We are not a party to the transactions entered into between you and Merchants. You agree that use of or purchase from such Merchants is AT YOUR SOLE RISK AND IS WITHOUT WARRANTIES OF ANY KIND BY US, EXPRESSED, IMPLIED OR OTHERWISE INCLUDING WARRANTIES OF TITLE, FITNESS FOR PURPOSE, MERCHANTABILITY OR NON-INFRINGEMENT. UNDER NO CIRCUMSTANCES ARE WE LIABLE FOR ANY DAMAGES ARISING FROM THE TRANSACTIONS BETWEEN YOU AND MERCHANTS OR FOR ANY INFORMATION APPEARING ON MERCHANT SITES OR ANY OTHER SITE LINKED TO OUR SITE.

19. Third-Party Merchant Policies.

All rules, policies (including privacy policies) and operating procedures of Merchants will apply to you while on any Merchant sites. We are not responsible for information provided by you to Merchants. We and the Merchants are independent contractors and neither party has authority to make any representations or commitments on behalf of the other.

20. Payments.

You represent and warrant that if you are purchasing something from us or from Merchants that (i) any credit information you supply is true and complete, (ii) charges incurred by you will be honored by your credit card company, and (iii) you will pay the charges incurred by you at the posted prices, including any applicable taxes.

21. Securities Laws.

The Site may include statements concerning our operations, prospects, strategies, financial condition, future economic performance and demand for our products or services, as well as our intentions, plans and objectives (particularly with respect to product and service offerings), that are forward-looking statements. We respect the intellectual property of others, and we ask you to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide our Copyright Agent the following information:

a. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;

b. A description of the copyrighted work that you claim has been infringed;

c. A description of where the material that you claim is infringing is located on the Site;

d. Your address, telephone number, and email address;

The Site contains information and press releases about us. We disclaim any duty or obligation to update this information or any press releases. Information about companies other than ours contained in the press release or otherwise, should not be relied upon as being provided or endorsed by us.

25. Legal Compliance.

You agree to comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of the Site and the Content and Materials provided therein.

26. Refusal of Business.

We reserve the right to refuse business to anyone and/or to cancel an order at any time.

27. Miscellaneous.

This Agreement shall be treated as though it were executed and performed in Las Vegas, Nevada, and shall be governed by and construed in accordance with the laws of the State of Nevada (without regard to conflict of law principles). Any cause of action by you with respect to the Site (and/or any information, Documents, products or services related thereto) must be instituted within one (1) year after the cause of action arose or be forever waived and barred. All actions shall be subject to the limitations set forth in Section 16 and Section 17. The language in this Agreement shall be interpreted as to its fair meaning and not strictly for or against any party. Any rule of construction to the effect that ambiguities are to be resolved against the drafting party shall not apply in interpreting this Agreement. This Agreement and all incorporated agreements and your information may be automatically assigned by us in our sole discretion to a third party in the event of an acquisition, sale or merger. If any provision of this agreement is held illegal, invalid or unenforceable for any reason, that provision shall be enforced to the maximum extent permissible, and the other provisions of this Agreement shall remain in full force and effect. If any provision of this Agreement is held illegal, invalid or unenforceable, it shall be replaced, to the extent possible, with a legal, valid, and unenforceable provision that is similar in tenor to the illegal, invalid, or unenforceable provision as is legally possible. To the extent that anything in or associated with the Site is in conflict or inconsistent with this Agreement, this Agreement shall take precedence. Our failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision nor of the right to enforce such provision. Our rights under this Agreement shall survive any termination of this Agreement. The title, headings and captions of this Agreement are provided for convenience only and shall have no effect on the construction of the terms of this agreement.

28. Reselling.

We operate on a direct-to-customer model, which means that there are no authorized MALIBAL dealers or resellers, so if you see a company selling our laptops – please report them to us. We do not allow the purchase of our laptops for resell.

29. Returns.

Any laptop purchased from MALIBAL may be returned or exchanged only in accordance with MALIBAL’s return policy in effect on the date of the invoice or acknowledgement. You must contact us directly before you attempt to return a laptop in order to obtain a Return Material Authorization Number for you to include with your return. You must return the laptop to us in its original packaging and condition, with all included manuals, discs, accessories, etc.

All returns will be inspected for physical damage and thoroughly tested for compliance with our policies posted below. Physical damage or evidence of misuse will void the product warranty and will not be accepted for return. Your return must meet the following conditions in order to qualify for a refund: Original boxes with all packing material must be returned without tearing, cutting, or markings found on the boxes, packaging, or internal documentation. The cost to replace any part showing scratches, scuffs, damage, or any sign of wear will be deducted from your refund total. The cost to replace any missing items, including but not limited to CDs, cables, connectors, decals, printed documentation, and/or any other component, chip, device, or item included in the original shipment, will be deducted from your refund total.

You are responsible for a lost package when returning or exchanging the laptop due to improper labeling. We must receive the laptop back within 30 days from the date your laptop is shipped in order to qualify for a refund of the laptop purchase price minus any fees and/or any deductions in accordance with the conditions stated above.

Our 100% money-back guarantee is intended to give Windows or Linux users the opportunity to try our products without risking any loss. It is only valid once per product, and on laptops that we preload with an OS we support. Mac users who are simply experimenting with a new OS, users who try to install their own OS that we don’t support, or users who have no intention of keeping the laptop, such as someone who buys it for the sole purpose of reviewing it and then returning it, may be subject to a 20% restocking fee.

The return shipping fees are only refundable in the lower US states. If a return is initiated from outside of this area, then the buyer is responsible for all return shipping costs.

If the order was shipped via an expedited shipping service, i.e., UPS Next Day, UPS 2 Day, UPS 3 Day, etc., those shipping fees are non-refundable. Only standard or ground shipping will be refunded on a return.

If you fail to follow the return or exchange instructions and policies provided by MALIBAL, MALIBAL is not responsible whatsoever for a laptop that is lost, damaged, modified, or otherwise processed for disposal or resale. At MALIBAL’s discretion, credit for returns may be less than invoice or individual component prices due to bundled or promotional pricing, including free shipping.

Exceptions: Laptops with permanent customizations, such as custom branding, accessories, parts, software, or services such as rush build or color calibration, are non-refundable. If you request a cancellation of your order but subsequently decide to proceed with the purchase, a 20% restocking fee will be applied if the laptop is shipped to you.

30. Refunds.

The timeline from the cancellation of your order or the receipt of your returned laptop to the reimbursement being reflected on your card or account generally spans 5-15 business days. Please note that this duration is an estimate and can be subject to extension due to various factors. These factors include, but are not limited to, holiday periods, our current production schedules, and other external circumstances that may affect processing times.

Note: Cash payment orders, i.e., checks or bank wires, may be subject to a small deduction to cover transfer fees.

31. Cancellations.

If you request an order cancellation within 24 hours of placing the order, there will be no cancellation fee. For cancellations requested after 24 hours of order placement, a cancellation fee of 5% to 10% will apply, depending on the stage of the order process.

32. Sales Tax.

All residents in the state of Nevada must pay state sales tax based on their location.

33. Bans.

We reserve the right to suspend or terminate user accounts at our discretion. Grounds for banning may include, but are not limited to, violations of our terms of service, disruptive behavior, misuse of our platform, or any actions that, in our judgment, pose a risk to the integrity and security of our company.

Appeals: Bans are permanent and cannot be appealed under any circumstances.

Warranty and Support: If a banned user has remaining warranty and support on a purchased product, they can still access these benefits through our support channels as outlined in our warranty and support policies.

Future Purchases: Once banned, the user is permanently prohibited from purchasing any MALIBAL products or services for life without exception.

Circumvention: Any attempt to circumvent a ban, including but not limited to having another user purchase products on behalf of a banned user, will result in a permanent ban for the assisting user, in addition to the voiding of warranty and support for the banned user’s products.

34. Parts Substitution.

We reserve the right to use different brands or manufacturers of parts of equal or greater value in the provision of our services, depending on part availability. While we strive to maintain consistency in the quality and performance of the parts used, variations in brand or manufacturer may occur. Rest assured that any substitutions made will be made with careful consideration to ensure they meet or exceed the specifications of the original part.

35. Geographical Restrictions.

The products and services offered on www.malibal.com are not available for purchase by residents of the State of California. If you are a resident of California, you are expressly prohibited from buying any products or services from this website. This prohibition includes any attempts to circumvent this restriction by shipping products to an address outside of California with the intention of forwarding them to a California address, as well as purchasing products while you are temporarily located outside of California with the intention of bringing them into the state. We reserve the right to refuse service or cancel orders that we determine are in violation of this policy.

Are all the parts soldered to the motherboard?

In many modern laptops, especially thin and light models (like Apple’s MacBook Air or Pro, Dell’s XPS 13, or many of Lenovo’s ThinkPad X1 Carbon models), the memory, storage, battery, and wireless module are often soldered directly onto the motherboard. This is done to save space and allow the laptop to be thinner, but it means that the RAM and SSD are not user-upgradeable.

However, as part of our commitment to the Right to Repair Movement, the memory, storage, battery, and wireless module all MALIBAL laptops are user-upgradeable or user-replaceable.

Coreboot is an open-source project aimed at replacing the proprietary BIOS (Basic Input/Output System) firmware found in most computers. BIOS firmware is the first piece of software that runs when a computer is turned on. It initializes the hardware and starts the operating system.

Coreboot is designed to perform only the minimum amount of hardware initialization necessary to load and run a modern 32-bit or 64-bit operating system. How do I get a quote?

If you need a quote for any reason, e.g., to submit to accounting for approval, before ordering, simply add the laptop(s) you want to purchase to the Cart, then click Checkout, and on the checkout page, click Convert Cart to Quote. We will email you a PDF of the quote with a link to make payment once you are ready to complete the order.

How do I cancel an order?

You may cancel an order any time up until it ships. After it ships, you will not be able to cancel it, but will instead have to use our return policy in order to return the laptop for a refund. To cancel an order, simply open a sales ticket or sales chat and give the representative your order information, and they will cancel the order for you and send you confirmation via email and text.

How do I make a change to my order?

You may make changes to your order up until it ships. To modify an order, simply open a sales ticket or sales chat and give the representative your order information and specify which changes you want to make.

When is my order shipping?

If all parts are in stock, the average build time for laptops is 5-7 business days. This means laptops will ship 5-7 business days after the order is placed. If a component is backordered, it will say which parts are backordered in your order confirmation email.

To see the estimated delivery date of your laptop, please check your order confirmation email for the Estimated Delivery Date. You can also see this information on your My Account > Order Details page. The estimated delivery date is the build time (plus backorder delay, if applicable) plus the shipping time.

Once your laptop ships out, we will email you the tracking information. An adult will need to be at the address to sign for the package when it arrives.
